ESCO Technologies just acquired Megger for $2.3 billion and declared it the largest deal in company history. Congratulations to everyone involved. Try to savor this moment before someone else breaks it in six months.
This is the corporate equivalent of setting a personal best at a sport you play twice a year. The announcement itself comes stamped with an expiration date, a glorious achievement destined for obsolescence the moment the next mega-deal closes.
It's not ESCO's fault, really. They're operating in a 2026 M&A landscape so volatile it makes a Tesla stock chart look stable. Q1 hit record heights with 12 mega-deals topping $10 billion each—the highest quarterly total since tracking began in 2008. Q2 promptly shattered that ceiling, riding an AI wave that made dealmakers forget what caution meant. Then Q3 arrived like a bucket of ice water, activity dropping 41 percent from Q2, producing only 10 transactions of that size. The fewest since Q4 2024.
Year-to-date global M&A sits at $3.9 trillion, up 28 percent from last year and the highest since 2001. Those are genuine superlatives. But quarterly? Seasonal? Those records turn over like fast food menu items. Rising borrowing costs, surging energy prices, and the 10-year Treasury yield hitting 5.34 percent on October 1—its highest level since 2002—have a way of making last quarter's trophy look quaint.

Jana Mercereau from WTW said it best: "Mega transactions have re-emerged with a vengeance." Emphasis on re-emerged. This isn't momentum. It's a cycle. Well-capitalized dealmakers return, rates spike, confidence evaporates, repeat.
So ESCO's $2.3 billion claim to fame will age well in one specific way: it'll eventually become a cute anecdote. Remember when that was the company record? The deal that seemed so massive we actually issued a press release?
The real record isn't ESCO's acquisition. It's how quickly we've all learned to treat historic deals as provisional.
